Dear Friends of Magic:
We invite you all to participate in saving, improving, and perpetuating Magic Mountain by becoming a shareholder. The mountain is currently at a crossroads and must raise capital in order to continue to operate and to make the necessary improvements that will enable Magic to offer a more consistent and reliable ski/snowboard experience. We are offering the opportunity to own a piece of Magic by selling 1000 shares at $3000 per share. Shareholders will receive an equity interest in the mountain, discounts on passes and tickets, and most importantly a voice in how the mountain is run and in the planning for its future. Our goal is to raise $3 million over four years all of which will be put into mountain improvements and operations which in turn will increase skier visits and make Magic Mountain an economically sustainable entity.
Magic is a classic Vermont mountain which features some of the best terrain in the east. Its winding trails and unique layout provide an exciting and interesting experience for all levels of skiers and boarders. Our intention is to preserve the unique nature of the mountain while at the same time making improvements in snow making and lifts to assure that the Magic experience can be enjoyed by enthusiasts for years to come.

The five year plan calls for annual improvements to the mountain with a focus on the snow making system together with yearly increases in the amount of snow made, and a commitment from year one to open in early December without interruption through early April. Over the five years of implementing the mountain improvements, we hope to increase the skier visits to 35,000. In implementing the improvements, we will take care to honor tradition and maintain what makes Magic different and special. The Magic brand will focus on challenging terrain and interesting slopes for all abilities in a relaxed family friendly atmosphere catering to skiing and snowboarding enthusiasts.
Based upon selling 1,000 shares over the course of 4 years the 5 year plan allocates the funds from share proceeds as follows:
• Snow making system improvements: $1,269,500
• Lift improvements and additions: $536,500
• Lodge improvements: $152,500
• Grooming Equipment: $125,000
• Operating and other expenses: $576,500
• Transfer of title and past debt: $300,000
